2023 Annual Meeting & Ballot Mailer

Dear SCSH Homeowner,

The 2023 Annual Meeting is fast approaching. The Ballot Mailer is scheduled to be sent to you this week!

Please note important information below regarding this year’s election.

2023 Annual Meeting

When: Tuesday, April 4, 2023.

Where: 80-888 City Boulevard, Indio, CA 92203, Located in the Montecito Clubhouse Ballroom.

Time: Polls will open at 9:00 a.m. The meeting will be called to order at 10:00 a.m. There will be a recess between 10:00 a.m. and approximately 2:00 p.m. to tabulate the ballots. The results will be announced after the meeting reconvenes at 2:00 p.m.

Candidates: Terry Coon, Big John MacDonnell, Moira MacLeod-Foster, and Barbara Prezlock.

Purpose: A membership vote on the following Items:

  1. The approval of the IRS Revenue Resolution 70-604 (see text below for additional details).
  2. The approval of the 2022 Annual Meeting Minutes.
  3. The election of two (2) Directors to the Board for a two-year term each.

Quorum: An action by the membership requires a quorum of 15% of the voting power. This means 518 out of 3,450 membership interests must return their Irrevocable Secret Ballots to establish a quorum and tabulate the ballots. The deadline for voting may be extended to allow all owners an opportunity to vote. Per Article 4, Section 4.6.4 of the Bylaws, the time fixed for the return of written ballots may be extended for two successive periods of thirty (30) days each. The Inspectors of Election shall determine when the ballots will be opened and tabulated. The results will be announced once votes are tallied.

Cumulative Voting: Article 4, Section 4.4.5 and Article 7, Section 7.5.2 of the Bylaws state that cumulative voting is permitted in elections where more than two Directors are to be elected, therefore, cumulative voting will not be permitted in this election. Fractional voting is prohibited. You may not exceed two (2) votes in total for the Board of Directors.

Write-Ins: Per your Bylaws, eligible write-in candidates are allowed. The nomination of a write-in candidate dos does not need to take place in advance to be valid. Even so, the write-in candidate will need to be contacted to verify that he/she is willing to accept the nomination and is qualified to be Director pursuant to the Association’s governing documents (in the event a sufficient number of votes are cast to elect the write-in candidate).

There are two (2) open positions on the HOA Board of Directors this year. You must vote for 2 different Candidates.  Cumulative voting does not apply and will not be permitted during this election.
